THE AGM AND EGM OF ALIJARAH HOLDING ENDORSES ITEMS ON ITS AGENDA AND APPROVES THE DISTRIBUTION OF 5% CASH DIVIDEND
AlIjarah Holding announces the results of the AGM and EGM was held on Monday, March 5, 2018 and has approved the following resolutions: –
The agenda of the Extraordinary & Ordinary General Assembly included the following:
EGM:
1- Amend the Articles of Association of the Company in accordance with the corporate governance issued by the decision of the Board of Directors of the Qatar Financial Markets Authority No. (5) for the year 2016.
2- Authorizing the Board of Directors to amend the Articles of Association of the Company in accordance with the corporate governance issued by the Board of Directors of Qatar Financial Markets Authority No. (5) for the year 2016.
AGM
1- Hearing the statement of His Excellency the Chairman of the Board and Managing Director and the Board of Directors’ report on the activity of the company and its financial position for the year ended 31 December 2017.
2- Hearing of Sharia Board report on the activity of the company for the year ended 31 December 2017.
3- Hearing the report of Independent Auditors on the Company’s financial statements for the year ended 31 December 2017.
4- Discussing and approving the Financial Statements of the company for the year ended 31 December 2017.
5- Approving the Board’s proposal to distribute a dividend of 5% of the nominal value per share at the rate of 0.50 QR.
6- Absolve the Boards of Directors Members for the year ended 31 December 2017 and fixing their fees.
7- Discussing and approving the Corporate Governance Report for 2017.
8- Appointing an External Auditor for the Company and fixing their fees.
9- Election of the members of the Board of Directors.
